| ![Title: Chintan N. Patel - Description: Partner](https://bnpsca.com/public/assets/upload/images/original/6872083e8d605-11.png) **Chintan N. Patel** Partner - Financial Reporting & Advisory *B N P S And Associates LLP* | This edition arrives on June 30, 2026 — the final day of GST's ninth year, the deadline for the MCA21 V2 portal decommissioning, and the day SEBI's rejection of the Reliance Infrastructure settlement enters the public record. The convergence is not coincidental: India's regulatory infrastructure is operating simultaneously on enforcement, compliance, and maturation tracks. SEBI's refusal to settle a Rs.6,526 crore fund diversion case without full adjudication signals that the regulator considers accountability non-negotiable at the promoter level. NFRA's public call for audit committees to own — not merely oversee — auditor independence arrives in the same week that IAASB clarifies what sustainability assurance will require in practice. Finance professionals and board members reading this edition should note that every oversight body is moving in the same direction: active accountability, with progressively less room for passive governance. |

| | **TOP DEVELOPMENTS** |
|---|---|

| **01** | **SEBI Rejects Anil Ambani and Reliance Infrastructure Settlement Bid in Rs.6,526 Crore Fund Diversion Case** ***WHY IT MATTERS*** *SEBI's second rejection of a settlement application in the same matter — citing parallel enforcement investigations — signals that regulatory exit from serious fund diversion cases is no longer available through the settlement route.* On June 26, 2026, SEBI rejected settlement applications by Anil Ambani and Reliance Infrastructure in the Rs.6,526 crore fund misuse matter — the second such rejection. SEBI's case rests on allegations that Reliance Infrastructure routed company funds through an intermediary entity that functioned as a de facto Reliance ADA Group company under indirect promoter control, constituting misutilisation of listed company resources. The rejection was on grounds that parallel investigations by financial crime and fraud enforcement agencies render settlement inappropriate at this stage. **PRACTICAL IMPLICATION** Boards and audit committees of listed entities should note that SEBI's settlement mechanism is not available where parallel enforcement investigations are active. Fund utilisation controls, related party transaction monitoring, and the independence of the compliance function from promoter influence require board-level attention — not merely management assurance. |
|---|---|

| **02** | **IAASB Releases ISSA 5000 Materiality FAQs to Support Sustainability Assurance Practice** ***WHY IT MATTERS*** *The FAQs are the most granular international guidance yet on how materiality operates in sustainability assurance — directly relevant as BRSR Core assurance mandates approach and Indian practitioners prepare to accept first-time engagements.* On June 25, 2026, the IAASB released FAQs clarifying how materiality functions under ISSA 5000, the global standard for sustainability assurance effective for periods beginning December 15, 2026. ISSA 5000 adopts a bifurcated materiality model: qualitative materiality for narrative sustainability disclosures and quantitative materiality for numerical data, each requiring separate practitioner judgment. The FAQs also address double materiality — impact materiality and financial materiality — and explain how a practitioner should evaluate the entity's own materiality determination process during the engagement. **PRACTICAL IMPLICATION** Indian practitioners accepting BRSR Core assurance engagements should study these FAQs before the engagement planning stage. Audit committees overseeing sustainability reporting should require their assurance providers to demonstrate familiarity with the ISSA 5000 materiality framework — generic materiality thresholds from financial statement audit do not translate directly into sustainability assurance. |
|---|---|

| **03** | **MCA's Companies Compliance Facilitation Scheme 2026: Final Amnesty Window Closes July 15** ***WHY IT MATTERS*** *The scheme's 90% fee waiver converges with the permanent V2 portal shutdown today — companies with outstanding ROC filing defaults face full fees plus active enforcement after July 15.* The Companies Compliance Facilitation Scheme (CCFS) 2026, introduced by MCA on February 24, 2026, offers a 90% waiver on additional ROC filing fees for companies clearing pending annual compliance defaults — available on the MCA V3 portal only. The legacy V2 portal was permanently decommissioned on June 30, 2026. Companies that do not avail the scheme before July 15, 2026 will face the full quantum of additional fees, and Registrars of Companies will initiate active enforcement against entities that remained in default. **PRACTICAL IMPLICATION** Directors of companies with outstanding annual filing defaults should treat July 15 as a hard compliance deadline. Companies with forms still in the V2 resubmission queue must file fresh forms on V3 and, where applicable, apply for condonation of delay under Section 460 of the Companies Act, 2013. Post-scheme, enforcement risk crystallises with no further relief available. |
|---|---|

| **04** | **NFRA Chairperson: Audit Committees Must Actively Own Auditor Independence — Not Delegate It** ***WHY IT MATTERS*** *A public statement from India's primary audit regulator explicitly positioning audit committees as active participants — not passive recipients — in the independence assurance process reshapes board accountability expectations.* At FICCI's 'Agile Governance: Fostering Transparency and Building Trust' conference in June 2026, NFRA Chairperson Nitin Gupta stated that audit committees must actively ensure auditor independence and cannot rely on management assurances alone. He called for comprehensive internal controls and sound risk management to be areas of direct board-level attention, and emphasised effective communication between auditors, management, and independent directors as a non-negotiable governance pillar. NFRA has been formalising these expectations through its Auditor-Audit Committee Interactions Series. **PRACTICAL IMPLICATION** Audit committee members should review whether they receive direct, unmediated communication from the statutory auditor on independence matters, key audit judgments, and accounting estimates. NFRA's Interactions Series specifies the questions that audit committees should routinely pose to auditors. Passive oversight of audit quality is no longer consistent with NFRA's stated expectations of those charged with governance. |

| **05** | **As GST Enters Its Tenth Year, Focus Shifts to AI-Led Compliance, Faster Refunds and Simpler Processes** ***WHY IT MATTERS*** *Nine years into implementation, GST's centre of gravity has moved from structural reform to intelligent enforcement — the compliance challenge is now data quality, not system navigation.* July 1, 2026 marks nine full years since India's GST was implemented, and the system's tenth year is defined by a materially different set of priorities. The GSTN now deploys AI and machine learning for invoice mismatch detection, refund anomaly identification, and suspicious credit chain analysis — reducing the need for manual notices while increasing detection precision. Refund timelines have shortened significantly for taxpayers with clean data hygiene. The operationalisation of GSTAT completes a critical missing pillar: an accessible, structured appellate forum absent for much of GST's operational life. **PRACTICAL IMPLICATION** Finance and tax functions should assess GST compliance not just for technical accuracy but for data consistency across GSTR-1, GSTR-3B, and GSTR-9 — AI-driven systems flag discrepancies that manual reviews miss. Clean input credit chains, consistent turnover disclosures, and timely reconciliation with counterparties are the operational disciplines that determine how GSTN's AI system classifies a taxpayer's risk profile. |
|---|---|

| **06** | **Central Government Extends GSTAT Appeal Filing Deadline to July 31, 2026** ***WHY IT MATTERS*** *Appeals pending due to GSTAT portal technical failures now have a final one-month extension — missing July 31 will result in loss of the appellate right for pre-May 2026 orders.* The Central Government has extended the deadline for filing appeals and applications before the GST Appellate Tribunal to July 31, 2026. The extension applies to orders communicated before May 1, 2026, for which the earlier outer limit was June 30, 2026. For orders communicated on or after May 1, 2026, the normal three-month limitation period under Section 112 of the CGST Act, 2017 continues to apply. The extension follows sustained representations by multiple Bar Associations citing persistent technical failures on the GSTAT e-filing portal. **PRACTICAL IMPLICATION** Companies with pending GST disputes from orders communicated before May 1, 2026 must complete GSTAT appeal filings by July 31, 2026 — no further extension should be assumed. Tax functions should audit whether all eligible disputes have been identified and whether pre-deposit obligations under Section 112 have been budgeted. Failure to file by July 31 will extinguish the appellate right for this category of orders. |
|---|---|

| | **THIS MATTERS MORE THAN IT APPEARS** |
|---|---|

| Two items in this edition carry immediate compliance deadlines that finance functions cannot afford to treat as advisory. The CCFS 2026 amnesty window closes July 15 — companies with ROC filing defaults have a final opportunity at a 90% fee waiver before enforcement begins. The GSTAT appeal extension to July 31 is equally a hard stop for companies with GST dispute orders predating May 1, 2026. The other four items point to a structural shift with longer lead times but equal consequence: SEBI's refusal to settle the Reliance Infrastructure fund diversion case, NFRA's call for active audit committee ownership of auditor independence, IAASB tightening the materiality standard for sustainability assurance, and GST entering AI-driven enforcement mode — taken together, they describe a regulatory environment in which passive governance is systematically being converted into enforceable liability. |
|---|

| | **AI WATCH** |
|---|---|

| Nine years into GST's operation, artificial intelligence has become its primary enforcement mechanism. The GSTN's AI models analyse invoice data in near real-time, flagging mismatches between GSTR-1 and GSTR-2B, detecting anomalies in refund claims, and identifying suspicious input tax credit chains before they crystallise into recovery proceedings. For CFOs and tax functions, the practical implication is significant: the error detection threshold has effectively fallen, and discrepancies that would previously have survived a manual compliance review are now flagged automatically. GST compliance in the system's tenth year is as much a data governance discipline as it is a tax compliance exercise. |
