| ![Title: Chintan N. Patel - Description: Partner](https://bnpsca.com/public/assets/upload/images/original/6872083e8d605-11.png) **Chintan N. Patel** Partner - Financial Reporting, Ind AS & IPO Advisory *B N P S And Associates LLP* | The NHB-Aavas situation is a reminder that loan classification is not merely a technical accounting exercise — it determines the regulatory treatment, refinancing eligibility, and risk capital that flow through India's financial system. When classification choices appear designed to access concessional refinancing for which the underlying loans do not qualify, the integrity of the financial sector's relationship with its own regulators is compromised. The simultaneous resignation of the CFO and CRO should prompt audit committees across the housing finance sector to revisit their classification frameworks, controls over regulatory reporting, and the independence of the compliance function from business pressures. Classification integrity is a governance matter — not an accounting one. |

| | **TOP DEVELOPMENTS** |
|---|---|

| **01** | **NHB Flags Loan Classification Lapses at Aavas Financiers; CFO and CRO Resign** ***WHY IT MATTERS*** *Alleged misclassification of a Rs.400-500 crore loan pool to access concessional NHB refinancing raises classification integrity concerns across India's housing finance sector.* NHB's supervisory inspection reportedly flagged approximately Rs.400-500 crore in loans at Aavas Financiers for potential misclassification: concessional NHB refinancing earmarked for SC/ST borrowers was drawn against ineligible accounts, properties were recorded as hilly region assets to access associated benefits, and non-home loans were reclassified as home loans. NHB has reportedly recalled Rs.500 crore in refinance support. On 21 June 2026, Aavas disclosed the resignations of its CFO and CRO, effective September 2026. The company has refuted the report as misleading. **PRACTICAL IMPLICATION** Audit committees and statutory auditors of housing finance companies should review loan classification policies, controls over regulatory reporting, and the basis on which NHB refinancing eligibility is assessed. The simultaneous resignation of CFO and CRO in the context of a regulatory probe warrants an independent review of internal controls. |
|---|---|

| **02** | **SEBI Constitutes Cyber Suraksha AI Task Force for AI-Driven Cybersecurity Risks** ***WHY IT MATTERS*** *India's securities regulator has formally embedded AI governance into the cybersecurity compliance framework — boards and senior management of all regulated entities are explicitly in scope.* SEBI Circular No. HO/13/19/12(1)2026 (dated 5 May 2026) warned all regulated entities of cybersecurity risks arising from AI-driven vulnerability identification tools and constituted the Cyber Suraksha AI task force comprising Market Infrastructure Institutions, Qualified Registrars, and other stakeholders. The task force is mandated to examine AI-related cybersecurity risks, devise uniform mitigation strategies, facilitate threat intelligence sharing, and review the cybersecurity posture of third-party technology vendors. **PRACTICAL IMPLICATION** Boards, senior management, and compliance functions of regulated entities should treat AI-related cybersecurity as a governance obligation, not solely an IT matter. Entities should review internal monitoring frameworks, vendor contracts, and incident response protocols in light of SEBI's expectations under the Cybersecurity and Cyber Resilience Framework. |
|---|---|

| **03** | **NFRA and ICAI Formalise Coordination Framework for Audit Oversight** ***WHY IT MATTERS*** *A structured cooperation mechanism between India's two primary audit regulators marks a significant shift — parallel investigations are giving way to a coordinated oversight model.* NFRA and ICAI are establishing a formal coordination mechanism involving regular senior-level meetings, structured information sharing on auditor involvement in suspected fraud cases, and joint audit quality initiatives. ICAI has agreed to pause its own disciplinary proceedings where NFRA is already engaged. The framework follows earlier friction over SA 600 and SA 299 — both effective from 1 April 2026 — and reflects a deliberate move towards regulatory convergence in audit oversight. **PRACTICAL IMPLICATION** Audit firms and individual auditors should understand that significant disciplinary matters are likely to migrate to NFRA's jurisdiction under the new framework. Matters currently under ICAI investigation involving NFRA-regulated entities may now be subject to coordination protocols. |
|---|---|

| **04** | **ICAI Revised Code of Ethics (13th Edition) in Force — Sustainability Assurance Standards Introduced** ***WHY IT MATTERS*** *India's professional ethics framework now converges with IESBA 2024 — stricter auditor independence, expanded NOCLAR obligations, and a new standalone volume for sustainability assurance.* The ICAI Code of Ethics (13th edition) is applicable from 1 April 2026. Volume I covers domestic provisions. Volume II converges with the IESBA 2024 Code, introducing stricter independence requirements and extended obligations to respond to non-compliance with laws and regulations. Volume III establishes India's first standalone ethics standards for sustainability assurance engagements, directly relevant to practitioners accepting BRSR Core and CSRD-aligned assurance mandates. **PRACTICAL IMPLICATION** Statutory auditors should review the updated independence provisions under Volume II, particularly requirements on long association with clients and extended family relationships. Sustainability assurance practitioners must study Volume III before accepting BRSR Core assurance engagements. |
|---|---|

| **05** | **IASB Issues IFRS 20: New Accounting Standard for Rate-Regulated Entities** ***WHY IT MATTERS*** *A longstanding gap in IFRS is now addressed — entities in power, utilities and infrastructure must begin assessing financial reporting impact ahead of the 2029 effective date.* The IASB issued IFRS 20 Regulatory Assets and Regulatory Liabilities in May 2026, establishing an accounting model for entities subject to rate regulation. The standard requires recognition of regulatory assets and liabilities and prescribes presentation and disclosure requirements for regulatory income and expense. Consequential amendments to other IFRS standards accompany it. IFRS 20 is effective for annual periods beginning on or after 1 January 2029, with early adoption permitted. **PRACTICAL IMPLICATION** Indian entities preparing IFRS financial statements — particularly in power, utilities, and infrastructure — should assess applicability and begin impact analysis well ahead of 2029. Ind AS preparers should monitor whether ICAI will issue a corresponding Indian standard and on what timeline. |
|---|---|

| **06** | **Supreme Court: Fraudulent Fund Diversion Cannot Be Cured by Shareholder Ratification** ***WHY IT MATTERS*** *The ruling resets the accountability standard for capital market disclosures — retroactive shareholder approval is no longer a legal remedy for undisclosed fund diversions.* In the Terrascope Ventures matter (March 2026), the Supreme Court held that diversion of funds raised through preferential allotment for purposes other than those disclosed to investors constitutes fraud under SEBI's PFUTP Regulations and cannot be cured by subsequent shareholder ratification. The Court established that demonstrable investor injury is sufficient to establish fraud; where loss is unquantifiable, fraudulent intent may be inferred from surrounding facts and circumstances. **PRACTICAL IMPLICATION** Boards must ensure that funds raised from capital markets are deployed strictly in accordance with disclosed objects. Any change in utilisation must be disclosed and approved by investors before it is effected. Retroactive ratification is no longer an available remedy under securities law. |
|---|---|

| | **THIS MATTERS MORE THAN IT APPEARS** |
|---|---|

| Three developments in this edition converge on a single point: the obligations of those charged with governance are being redefined across multiple fronts simultaneously. The NFRA-ICAI coordination framework narrows the space between professional self-regulation and statutory oversight. The Supreme Court's ruling removes retroactive shareholder ratification as a governance safety valve. And the NHB-Aavas situation reveals what happens when classification choices are shaped by refinancing access rather than economic substance. Finance professionals who treat loan classification and fund utilisation as administrative matters are now operating in a framework that treats them as governance failures. |

| | **AI WATCH** |
|---|---|

| In March 2026, the EU Council agreed to extend the application timeline for high-risk AI systems under the AI Act by up to 16 months, under the Omnibus VII package. Credit scoring, algorithmic lending decisions, and financial advisory AI deployments are classified as high-risk under the Act. Indian financial sector entities with EU market exposure or those using EU-based AI vendors should assess whether their AI deployments — and those of their technology suppliers — fall within scope of the revised compliance timeline. |
